1. Program Overview

By joining the Birdesc affiliate program, you agree to promote Birdesc products in compliance with these terms. Birdesc reserves the right to approve or deny any affiliate application at our discretion.

2. Commission Structure

• Affiliates earn 12% commission on qualifying sales made through their unique tracking link • Commissions are calculated on the product subtotal (excluding taxes, shipping, and discounts) • Cookie duration is 60 days from initial click • Minimum payout threshold is $50 USD • Payments are processed monthly, 40 days after the sale date to account for returns and refunds • Commissions on returned or refunded orders will be deducted from future earnings

3. Prohibited Marketing Practices

Affiliates may NOT: • Use paid search advertising on Birdesc brand terms, trademarks, or misspellings (e.g., "Birdesc," "Birdesc backpack") • Engage in cookie stuffing, false advertising, or fraudulent activities • Purchase products through their own affiliate links for personal use • Misrepresent their relationship with Birdesc (e.g., claiming to be employees or official representatives) • Use spam, unsolicited emails, or deceptive marketing tactics • Promote on websites containing illegal, adult, or hateful content • Make false claims about product features, pricing, or availability

4. FTC Compliance & Disclosure Requirements

• Affiliates must clearly disclose their affiliate relationship in all promotional content • Required disclosure examples: "This post contains affiliate links," "I earn commission from purchases made through my links" • Disclosures must be clear, conspicuous, and placed BEFORE affiliate links • Failure to comply with FTC guidelines may result in immediate termination

5. Trademark & Brand Usage

• Affiliates may use Birdesc name, logos, and provided marketing materials for promotional purposes only • Affiliates may NOT modify logos, create derivative works, or register domain names containing "Birdesc" • All intellectual property rights remain with Birdesc • Affiliates must remove all Birdesc branding immediately upon termination

6. Termination

• Either party may terminate this agreement at any time without notice • Birdesc reserves the right to terminate affiliates for violations of these terms, fraudulent activity, or brand misrepresentation • Upon termination, unpaid commissions above the minimum threshold will be paid according to the regular schedule • Commissions under the minimum threshold are forfeited upon termination for cause

7. Modification of Terms

• Birdesc reserves the right to modify commission rates, terms, or program structure at any time • Affiliates will be notified of material changes via email • Continued participation after changes constitutes acceptance of new terms

8. Limitation of Liability

• Birdesc is not liable for technical failures, tracking errors, or payment processing delays beyond our control • Maximum liability is limited to unpaid commissions owed • Birdesc makes no guarantees regarding earnings potential

9. Tax Responsibilities

• Affiliates are independent contractors responsible for their own taxes • Birdesc will issue tax forms (1099-NEC or equivalent) as required by law • International affiliates are responsible for compliance with local tax laws

10. General Provisions

• These terms are governed by the laws of Alberta, Canada • Any disputes will be resolved through binding arbitration in Calgary, Alberta • If any provision is found unenforceable, remaining provisions remain in effect • This agreement constitutes the entire agreement between parties
